Taiwan Extracellular Vesicle Medical Promotion Association Charter
Approved by the Ministry of the Interior, Letter No. Tai-Nei-Tuan-Zi No. 1120036489, August 2023Chapter 1: General Provisions
Article 1: The name of this association is Taiwan Extracellular Vesicle Medical Promotion Association (hereinafter referred to as 'the Association').
Article 2: The Association is a legally established, non-profit public welfare social organization, with the purpose of promoting the development of Taiwan's extracellular vesicle medical quality.
Article 3: The tasks of the Association are as follows:
1. Organize relevant conferences, workshops, training, and exchange activities.
2. Regularly select and commend outstanding extracellular vesicle talents and papers.
3. Liaise with international relevant organizations and promote academic and technical exchanges.
4. Provide consultation and assistance for relevant industrial development.
5. Other matters in line with the Association's purpose.
Article 4: The competent authority of the Association is the Ministry of the Interior. The business competent authorities, according to the purpose and tasks set forth in the charter, are primarily the Ministry of Health and Welfare. The business activities of the Association shall be subject to the guidance and supervision of the respective business competent authorities.
Article 5: The Association takes the national administrative region as its organizational area.
Article 6: The Association's headquarters shall be located in the area under the jurisdiction of the competent authority, and may establish branch institutions with the approval of the competent authority.
The organizational guidelines for the aforementioned branch institutions shall be drafted by the Board of Directors and implemented after approval by the competent authority.
The addresses of the headquarters and branch institutions shall be reported to the competent authority for record when established or changed.
Chapter 2: Members, Directors, and Supervisors
Article 7: The Association's membership and fees are classified as follows:
Individual members: Those who agree with the Association's purpose, possess Republic of China citizenship (or devoted enthusiasts), complete the membership application form, pass Board of Directors review, and pay membership fees shall become individual members; membership fee is NT$1,000, paid upon joining; annual membership fee is NT$2,000.
Article 8: Members (member representatives) have voting rights, election rights, candidacy rights, and recall rights. Each member (member representative) has one vote.
Article 9: The Association's directors and supervisors serve terms of 3 years.
Article 10: The Association has 11 directors (including 2 standing directors, of which 1 is the chairman) and 3 alternate directors.
Standing directors are elected by all directors.
The chairman is elected by all directors from among the standing directors.
Article 11: The Association has 3 supervisors (of which 1 is the standing supervisor) and 1 alternate supervisor.
The Board of Supervisors has a standing supervisor, elected by the supervisors, who supervises daily affairs and serves as the chairman of the Board of Supervisors.
Article 12: Members have the obligation to abide by the Association's charter, resolutions, and pay membership fees.
Members who fail to pay membership fees shall not enjoy membership rights. Members who fail to pay membership fees for 2 consecutive years shall be deemed to have automatically withdrawn. When members who have withdrawn, left, or been suspended apply for reinstatement or restoration of rights, unless there are justifiable reasons approved by the Board of Directors, they must pay all previously owed membership fees.
Article 13: When members (member representatives) violate laws, the charter, or fail to comply with general assembly resolutions, the Board of Directors may decide to give warnings or suspension penalties. Those who seriously harm the organization may be expelled by resolution of the general assembly.
Article 14: Members shall be considered to have left the Association under the following circumstances:
1. Death.
2. Loss of membership qualifications.
3. Expulsion by resolution of the member (member representative) general assembly.
Article 15: Members may declare withdrawal from the Association in writing with reasons stated to the Association.
